Description
• Prepare legal memoranda containing analysis of legal and/or
maritime business issues and recommendations on appropriate courses of
action; Provide legal advice and counsel to the maritime & offshore
related business unit personnel and management on issues relating to
contractual transactions, tenders and terms & conditions;
•
Review, draft, amend and negotiate legal aspects of commercial
contracts, tender documents, charter-parties, business/purchase
agreements, general terms and conditions, non-disclosure agreement,
contracts, etc and other agreements to ensure effective implementation
of all contractual terms and conditions;
• Provide ad-hoc advice
on specified legal topics concerning maritime & offshore business
units on matters related to contractual & commercial agreements,
maritime laws (including cabotage laws), port and crew issues, agency
matters, and issues on day-to-day shipping activities;
•
Negotiate, draft, amend and review all corporate/support services and
non-maritime commercial related agreements (including tender-documents
and real-estate agreements) to identify areas of legal risks,
liabilities & financial implications and to ensure their alignment
with the company's business interest and effectively communicate all
legal concepts and risks to respective maritime & offshore BU;
•
Provide support to and share domain-knowledge with the
cross-functional teams on all major transactions like acquisitions,
mergers, JV's, partnerships, legal restructuring, deal-structuring,
financing and investments.
• Follow up with official authorities
(such as flag-state, ministries etc) on keeping certificates, licenses
and registrations of vessels and maritime assets valid/renewed as
required by the relevant laws and regulations.
• Monitor and
analyze local legislations and regulations which may impact Milaha’s
operations and business units; Submit regular reports with
recommendations to the SLC-M&O;
• Review (or oversee review),
assess and analyse tenders and documents related to the Section,
taking into consideration every legal liability, to minimise
discrepancies and ensure compliance with Milaha policies and
procedures;
• Engage (or oversee) in legal research relating to
various legal and business matters on maritime and offshore sector;
and provide SLC-M&O and VP with analysis and advice regarding
potential legal risks and liabilities;
• Liaise with other Legal
Department team members in supporting and sharing domain expertise as
and when required; Work in coordination with them in your respective
activities and functions.
• Implement legal processes to ensure
Milaha’s privileges, obligations, and rights; and propose necessary
amendments in order to safeguard Milaha’s interests; Participating in
establishing and implementing training programs as and when necessary.
• Evaluate, appoint, deal with, and follow up with assigned
external counsel/consultancy firm in any transaction or advisory work.
• Comply with all Milaha Health & Safety, Security, Environment
and Quality policies, manuals, procedures, laws, regulations and
standards; Advice on maritime safety standards on board vessels and on
ports.
• Advising SLC-M&O and VP on legal and compliance matters
as and when necessary;
• Perform other job-related duties as
assigned.
• Ensure operations/work processes occur in accordance
with all relevant legal, regulatory, and any other standards and
requirements to which compliance is required
• Ensure the health
and safety of all employees and the protection of the environment for
all sites/work premises under their control.
Qualifications
Education & Professional
Qualification
Bachelor Degree in Law or equivalent
Professional Experience
6 – 8 years of
experience in area of Shipping Practice out of which 1-3 years in an
in-house counsel role.
Bar Admission: Common Law License (eg.
U.K., U.S., Australia, Singapore etc.)
Geographic
Experience
Fully conversant with maritime laws of UK
and similar regulations globally. Be able to locate and interpret the
applicable laws and judgements.
Computer Skills
Good knowledge of Office and web applications
Language Skills
Business Fluent English. Arabic
skills desirable
Market/Industry/Functional Knowledge
Strong knowledge of local and international maritime
laws and regulations
Strong knowledge of admiralty law, UN
maritime conventions, port state regulations, employment laws, and O&G
chartering practice.
